Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the websites, products, and services provided by Veritas UI (“we”, “us”, “our”). By using our site or engaging our services, you agree to these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.

Fees & Payment

Invoices are due per the SOW. Late payments may pause work and incur interest as permitted by law.

Intellectual Property

We retain our pre-existing IP. You receive rights to deliverables per the SOW once paid in full.

Liability

We provide services with reasonable care and skill, but disclaim indirect losses to the fullest extent permitted by law.

About Our Services

We design, build, and support enterprise-grade and government-grade software and related services, including strategy, UX/UI design, development, integration, hosting advice, analytics, and ongoing support.

Definitions

  • Client: the person or entity purchasing our services.
  • Deliverables: items we produce under an agreed SOW (e.g., code, designs, documents).
  • SOW: a Statement of Work, order form, or proposal accepted by both parties.
  • Third-Party Services: platforms, tools, or APIs provided by others (e.g., Shopify, Modulr, analytics vendors).

Eligibility & Accounts

You must be at least 18 and have legal capacity to contract. Where accounts or credentials are issued, you are responsible for safeguarding access and for all activity under your account.

Orders, SOWs & Changes

  • Each engagement is governed by an SOW referencing these Terms. In case of conflict, the SOW prevails for that engagement.
  • Changes to scope, timeline, or assumptions require a written change request and may adjust fees and delivery dates.
  • Time estimates are indicative; dependencies on Client inputs may affect timelines.

Fees, Invoicing & Taxes

  • Fees and payment schedules are set out in the SOW. Prices are exclusive of VAT and applicable taxes unless stated otherwise.
  • Unless specified, expenses reasonably incurred (e.g., travel, licences) are billable with prior notice.
  • Late payments may accrue interest at the maximum permitted rate and may result in suspension of work until arrears are cleared.

Client Responsibilities

  • Provide timely feedback, access, content, and approvals.
  • Ensure materials supplied do not infringe others’ rights and comply with law.
  • Appoint a single authorised point of contact empowered to make decisions.

Acceptable Use

  • No unlawful, harmful, or infringing use of our site or services.
  • No reverse engineering or circumventing security features, except where allowed by law.
  • No introduction of malware, denial-of-service activity, or abusive scraping.

Third-Party Services & Dependencies

We may integrate or recommend Third-Party Services. Those providers are responsible for their platforms and terms. You are responsible for reviewing and accepting their terms and for any associated fees. We are not liable for their acts or omissions.

Intellectual Property

  • Pre-existing IP: Each party retains ownership of pre-existing IP and tools.
  • Deliverables: Upon full payment, you receive the licence or ownership stated in the SOW (commonly, a perpetual, worldwide, non-exclusive licence for internal and agreed commercial use).
  • Portfolio: Unless you notify us in writing, we may reference non-confidential Deliverables, marks, and case studies for marketing and tendering.

Confidentiality

Each party shall keep the other’s non-public information confidential and use it only to perform under the SOW, subject to usual exceptions (public domain, independently developed, required by law).

Data Protection & Security

We process personal data in accordance with our Privacy Policy and the UK GDPR/Data Protection Act 2018. Where we act as a processor, a data processing addendum may apply. You are responsible for providing accurate notices/consents to your users as required.

Warranties & Disclaimers

  • We warrant services will be performed with reasonable care and skill by appropriately qualified personnel.
  • Except as expressly stated, services and site are provided “as is”. We do not warrant uninterrupted or error-free operation, nor outcomes dependent on Third-Party Services.

Limitation of Liability

Nothing limits liability for death or personal injury caused by negligence, fraud, or other liability that cannot be limited under law. Subject to the foregoing, we are not liable for indirect, consequential, special, exemplary, or punitive damages; loss of profits, revenue, goodwill, or data; and our aggregate liability arising out of or related to the services shall not exceed the total fees paid by you for the specific SOW giving rise to the claim in the 12 months preceding the event.

Indemnity

You agree to indemnify us against third-party claims arising from materials you provide, your unlawful use of the services, or your breach of these Terms, except to the extent caused by our breach.

Suspension & Termination

  • Either party may terminate an SOW for material breach not remedied within 14 days of written notice.
  • We may suspend services for non-payment, security risk, or unlawful use.
  • On termination, you pay for work performed up to termination and we will deliver any in-progress materials as reasonably practicable.

Governing Law & Jurisdiction

These Terms and any dispute or claim (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction, provided that either party may seek injunctive or equitable relief in any jurisdiction.

Changes to These Terms

We may update these Terms to reflect changes in law, technology, or our operations. Updates will be posted on this page with a new effective date. Material changes will be highlighted where appropriate.
